Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “You”) and OnSet One Agency LLC, a Wyoming limited liability company (“OnSet One,” “Company,” “we,” “us,” or “our”), governing your access to and use of our website located at https://onsetone.com and any services, software, content, or products provided directly by us or through the Site (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree with these Terms, you must not access or use the Site or any Services.
1. Eligibility
You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our Services. By accessing the Site, you represent that you meet this requirement and are legally capable of entering into binding contracts.
2. Scope of Services
OnSet One provides custom website design, development, optimization, digital consultation, and related services. Service details, timelines, deliverables, and fees will be outlined in individual project agreements, quotes, or statements of work signed by the parties.
We reserve the right to modify or discontinue any Services or features, temporarily or permanently, with or without notice.
3. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights in the Site and Services, including but not limited to logos, designs, code, graphics, content, and proprietary tools, are owned or licensed by OnSet One. You may not copy, reproduce, distribute, or create derivative works from our materials without our prior written consent.
For client projects, intellectual property rights to final deliverables will be transferred upon full payment, as defined in the individual agreement. We retain the right to showcase anonymized or public work in our portfolio unless expressly prohibited.
4. Client Responsibilities
You agree to provide accurate information, feedback, and content in a timely manner during the course of the project. You are responsible for obtaining any required third-party rights, licenses, or approvals for materials you provide to us.
Failure to cooperate or communicate effectively may result in delays, additional charges, or termination of the project at our discretion.
5. Payments and Invoicing
Fees for Services are outlined in individual proposals or contracts. Payment terms may include upfront deposits, milestone-based billing, or final payment upon completion.
Payments are accepted via approved methods and are due in accordance with the agreement. Late payments may incur interest charges and may delay project delivery or result in suspension of Services.
All pricing is listed in U.S. Dollars (USD) unless otherwise stated.
6. Refunds and Cancellations
All sales and services are final unless stated otherwise in the specific agreement. Refunds may be issued solely at our discretion in the event of non-performance or breach by OnSet One.
Cancellation terms, if applicable, are outlined in the signed agreement. Clients may be responsible for partial payments, costs incurred, or completed milestones up to the date of cancellation.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the project. This includes but is not limited to trade secrets, business plans, account credentials, and internal documents.
The obligation of confidentiality survives the termination of the engagement for a period of three (3) years.
8. Warranties and Disclaimers
OnSet One provides Services on an “as-is” and “as-available” basis. We make no guarantees or warranties, express or implied, regarding the functionality, performance, or outcomes of the Services, including any specific financial, SEO, or marketing results.
We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, OnSet One Agency LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, profits, data, or use arising from your use of the Services.
Our maximum aggregate liability shall not exceed the total amount paid by the Client to OnSet One within the six (6) months preceding the claim.
10. Force Majeure
We shall not be held liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, cyberattacks, war, civil unrest, or government restrictions.
11. Third-Party Services and Links
Our Site may contain links or integrations with third-party platforms and services. We do not control and are not responsible for the content, terms, or privacy practices of such external services. You use them at your own risk.
12. Termination
We reserve the right to terminate or suspend access to the Site or our Services, at our sole discretion and without liability, for any reason, including breach of these Terms.
Upon termination, all outstanding payments become immediately due. Rights and obligations under intellectual property, confidentiality, and limitation of liability shall survive.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wyoming, and both parties consent to the jurisdiction of such courts.
14. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Updates will be effective when posted on the Site with a revised “Effective Date.” Continued use of the Services following such changes constitutes acceptance of the updated Terms.
